Enterprise clients and partners who enter into separate Master Service Agreements (MSAs) or other commercial contracts with Skymod Technology are subject to the terms of those agreements in addition to these Terms; in the event of a conflict between these Terms and a separately executed commercial agreement, the terms of the commercial agreement shall control.

Skymod Technology develops and operates autonomous drone technology platforms for enterprise and industrial applications. Our Services include:

  • Violate any applicable local, state, national, or international law or regulation
  • Violate any applicable aviation regulations, including FAA regulations governing unmanned aircraft systems
  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Impersonate any person or entity or falsely represent your affiliation with any person or entity
  • Attempt to gain unauthorized access to any part of our systems or networks

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKYMOD TECHNOLOGY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, EVEN IF SKYMOD TECHNOLOGY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SKYMOD TECHNOLOGY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE OR SERVICES EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE AMOUNTS PAID BY YOU TO SKYMOD TECHNOLOGY IN THE TWELVE MONTHS PRECEDING THE CLAIM.

The foregoing limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Skymod Technology and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Website or Services; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; or (e) any content you submit or transmit through the Website.

8. Drone Operations and Regulatory Compliance

Skymod Technology provides technology platforms and information intended to support lawful commercial drone operations. Users and clients who operate drones using our platform or based on information from our Website are solely responsible for:

  • Obtaining all required licenses, certifications, and authorizations from the FAA and other applicable regulatory authorities before conducting drone operations
  • Complying with all applicable federal, state, and local laws and regulations governing unmanned aircraft systems
  • Obtaining required airspace authorizations for each operation, including LAANC authorizations or FAA waivers as applicable
  • Conducting operations safely and in accordance with applicable aviation safety standards
  • Maintaining adequate insurance coverage for drone operations
  • Complying with site-specific access and operational requirements

Nothing in our platform, documentation, or Website constitutes legal advice regarding drone regulations or compliance. You should consult qualified legal counsel for advice specific to your operational circumstances.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Dallas County, Texas for the resolution of any disputes arising under or related to these Terms.

11.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact Skymod Technology at legal@skymud.org to attempt to resolve the dispute informally. We will attempt in good faith to resolve any dispute informally within 30 days of receipt of your complaint.

11.3 Arbitration Agreement

If the parties are unable to resolve a dispute informally within 30 days, any dispute arising from or related to these Terms or the Website or Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. The arbitration shall be conducted in Dallas, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, we both waive any right to a jury trial.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Skymod Technology regarding your use of the Website and Services and supersede all prior agreements and understandings with respect to its subject matter.

12.2 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, the provision shall be severed from these Terms without affecting the validity and enforceability of the remaining provisions.

12.3 Waiver

No waiver of any provision of these Terms shall be effective unless in writing signed by Skymod Technology. The failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
